Final order granted for GoviEx to become Tombador subsidiary

The Supreme Court of British Columbia on November 5 granted the final order approving the previously announced plan of arrangement, which would result in dual-listed GoviEx Uranium becoming a wholly-owned subsidiary of ASX-listed Tombador Iron on closing of the arrangement.

As previously announced, the arrangement was approved by GoviEx shareholders, warrant holders, and option holders at a special meeting of these GoviEx security holders held on October 24.

Closing of the arrangement remains subject to satisfaction of certain closing conditions set forth in the amended and restated arrangement agreement between GoviEx and Tombador of September 5.

Assuming that the conditions to closing are satisfied or waived, it is currently expected that the arrangement will be completed and closed on or about November 12.

Accordingly, it is expected that GoviEx’s last trading day on the TSX-V will be November 10, and on the OTCQB on November 11, with trading on the ASX as Atomic Eagle forecast to start on November 18.
